RESOLUTION #12-2002

A RESOLUTION OF THE RICHFIELD TOWNSHIP BOARD OF TRUSTEES TO AUTHORIZE THE TERMINATION OF THE HEALTH WATCH, INC. CONTRACT AND THE NEGOTIATION AND EXECUTION OF A REPLACEMENT PERSONAL RESPONSE SYSTEM CONTRACT

WHEREAS, the Township entered into an Agreement with Health Watch, Inc. on or about October 22, 2001 (“Agreement”) for the personal response system utilized in the Township.

WHEREAS, Section 4(b) of the Agreement states that either party may terminate the Agreement for cause which specifically includes the bankruptcy of a party.

WHEREAS, Health Watch, Inc. filed a Bankruptcy Petition on October 18, 2001 in the Southern District of Florida which was subsequently transferred to the Bankruptcy Court District of New Jersey and assigned to Case No. 01-21070GB and which Petition is still pending.

WHEREAS, the Township now elects to take necessary actions concerning the right to terminate the Agreement under the terms of Section 4(b) of the Agreement and to consider entering into an agreement with a new provider or supplier for the provision of personal response services for Township residents.

NOW, THEREFORE, be it resolved, by the Board of Trustees of Richfield Township, Summit County, Ohio, that the Township, by and through Trustee Laurie Gilmore and John P. Slagter as Special Counsel, is authorized to take such necessary actions concerning termination of the Agreement with Health Watch, Inc. and to negotiate a replacement contract for personal response services with Valued Relationships, Inc. or another provider upon terms approved by a majority of the Township Trustees.

FURTHER, RESOLVED, that Laurie Gilmore or any other member of the Board of Trustees of Richfield Township is hereby authorized to execute a replacement contract for personal response services once the final contract is negotiated and approved.
